Terms of Service
Terms for Ledgora accounts, purchases, downloads, and services.
Ledgora is offline desktop software sold as a one-time purchase. These terms explain the rules for using the website, account portal, licensing, downloads, support, and related services.
Effective date: July 7, 2026. These Terms of Service apply to ledgora.app, the Ledgora account portal, downloads, license services, updates, support, and related online services operated by Ledgora LLC. Use of the desktop software is also governed by the Ledgora End User License Agreement.
1. Acceptance
By accessing the website, creating an account, downloading Ledgora, purchasing a license, activating the software, or using related services, you agree to these Terms of Service, the Privacy Policy, the End User License Agreement, and the Financial Disclaimer. If you do not agree, do not use Ledgora.
2. What Ledgora is
Ledgora is cash-flow forecasting and planning software for Windows. It is designed to store user financial records locally on the user’s computer. Ledgora is not a bank, accounting firm, investment adviser, tax adviser, payment processor, or financial adviser.
3. One-time purchase model
Ledgora Professional is sold as a one-time software license unless a product page clearly states otherwise. Ledgora does not require a recurring subscription for the purchased Professional license. We may offer free versions, paid versions, paid upgrades, optional add-ons, paid support, or future separately priced products, but we will not convert a one-time purchase into a recurring subscription without clear notice and your agreement.
4. No advertisements
Ledgora Desktop does not display third-party advertisements. Ledgora does not operate an advertising network and does not sell user financial data for advertising.
5. Accounts
You may need a Ledgora account to download installers, manage licenses, verify email, access purchases, use support tools, or activate Professional features. You are responsible for accurate account information and for keeping your password, two-factor authentication codes, recovery codes, and session access secure.
We may require email verification before allowing downloads, purchases, support requests, license actions, or other portal features.
6. Security features
Ledgora may provide account security features such as email verification, password reset, login history, active sessions, two-factor authentication, recovery codes, Google Sign-In, Microsoft Sign-In, and security alerts. You are responsible for maintaining access to your email account and protecting your recovery codes.
7. Licenses and activation
Professional features require a valid license, account entitlement, or activation. License keys are personal or business-use entitlements issued by Ledgora LLC. You may not share, resell, publish, distribute, lease, sublicense, or transfer license keys unless Ledgora LLC expressly permits it.
Ledgora may limit the number of activations per license. We may revoke, suspend, reset, or block a license if payment is reversed, fraud is suspected, the license is misused, the terms are violated, or required by law. If a license is revoked, the desktop software may return to Free mode after contacting the licensing service.
8. Offline/local data promise
Ledgora Desktop is designed to operate with local data. The website and license service do not host your financial project files, forecasts, transaction records, reports, receipts, vendors, customers, or business books. Account, licensing, purchase, security, support, and update records are stored online as needed to operate the service.
9. Payments, taxes, and refunds
Payments are processed through Stripe or another identified payment provider. Prices, taxes, fees, and refund eligibility are shown at checkout or in a posted refund policy. You are responsible for any taxes, duties, bank fees, or payment-provider charges that apply to your purchase.
Refunds, when available, may be returned through the original payment method and may result in license revocation.
10. Updates and downloads
Ledgora may provide updates, bug fixes, security patches, release metadata, and installers through ledgora.app or related download services. Some updates may require a valid license or may only be available for supported versions. We may remove outdated or insecure downloads.
11. Support
Support may be provided by email, portal tickets, documentation, or other channels. Support availability, response times, and scope are not guaranteed unless stated in a separate written agreement. Do not send confidential financial records unless necessary and you are comfortable sharing them.
12. Acceptable use
- Do not attack, disrupt, scrape, overload, or abuse the website, API, portal, download system, license service, or support tools.
- Do not attempt unauthorized access to accounts, admin tools, license systems, databases, or infrastructure.
- Do not use false payment information, stolen accounts, stolen cards, or fraudulent chargebacks.
- Do not reverse engineer, bypass, or tamper with activation, licensing, updates, or security controls except where law expressly permits.
- Do not upload malware, abusive content, illegal content, or third-party confidential information without authorization.
13. Third-party services
Ledgora may use third-party services including Cloudflare for hosting and infrastructure, Stripe for payments, Resend for transactional email, Google or Microsoft for optional sign-in, and other vendors necessary to operate the service. Those services may have their own terms and privacy policies.
14. Intellectual property
Ledgora, the Ledgora name, branding, website, software, documentation, user interface, license services, and related intellectual property are owned by Ledgora LLC or its licensors. You retain ownership of your local financial data and files.
15. Financial disclaimer
Ledgora provides forecasting and planning tools only. It does not provide legal, tax, investment, accounting, banking, credit, or financial advice. You are responsible for reviewing outputs, maintaining records, and making business or financial decisions.
16. Termination
We may suspend or terminate account, portal, support, download, or license-service access if you violate these terms, misuse licenses, commit fraud, create security risk, or if required by law. Termination does not automatically delete local files stored on your device.
17. Disclaimers
Ledgora services are provided “as is” and “as available.” To the maximum extent permitted by law, Ledgora LLC disclaims warranties of accuracy, reliability, uptime, merchantability, fitness for a particular purpose, and non-infringement.
18. Limitation of liability
To the maximum extent permitted by law, Ledgora LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, business interruption, missed payments, overdraft fees, penalties, tax issues, or decisions made using Ledgora.
19. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable United States law, without regard to conflict-of-law rules.
20. Changes
We may update these Terms as Ledgora evolves. Updated terms will be posted on ledgora.app with a new effective date. Continued use after updates means you accept the revised terms.
