End User License Agreement
This End User License Agreement governs installation, activation, access, and use of the Ledgora desktop software, installer, updates, documentation, license services, and related components.
1. Acceptance
By downloading, installing, activating, accessing, or using Ledgora, you agree to this Agreement. If you accept this Agreement on behalf of a company or organization, you represent that you have authority to bind that entity. If you do not agree, do not install, access, or use the Software.
2. Definitions
“Ledgora,” “we,” “us,” or “our” means Ledgora LLC. “Software” means the Ledgora desktop application, installer, updates, modules, documentation, local files, and related components. “Portal” means Ledgora’s website, account system, licensing system, download service, purchase pages, support tools, and related cloud services. “License Key” means a unique code or entitlement enabling Professional features. “User Data” means information you create, import, store, or manage using the Software.
3. License Grant
Subject to your compliance with this Agreement, Ledgora LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software for personal or internal business purposes. The Software is licensed, not sold. Ledgora LLC reserves all rights not expressly granted.
4. Free and Professional Editions
Ledgora may be offered in Free and Professional editions. The Free Edition may include limited functionality. The Professional Edition requires a valid purchase, account entitlement, license key, or other authorization issued by Ledgora LLC.
Ledgora LLC may improve, add, remove, or modify features over time for security, reliability, compatibility, business, or product reasons.
5. One-Time Purchase; No Subscriptions; No Ads
Ledgora Professional is intended to be sold as a one-time software license unless the applicable product page clearly states otherwise. Ledgora Desktop does not require a recurring subscription for the purchased Professional license and does not display third-party advertisements.
Future separately priced products, paid upgrades, add-ons, support plans, or services may be offered separately, but a one-time purchase will not be converted into a recurring subscription without clear notice and agreement.
6. Activation, Accounts, and Revocation
Professional features may require a Ledgora account, email verification, license key entry, activation, and occasional connection to Ledgora’s licensing service. Activation verifies that a license is valid, active, and within permitted activation limits.
Activation may transmit limited technical information such as account identifier, license key or entitlement, software version, activation status, activation timestamp, operating system, device activation identifier, and license status. Activation does not require sending your local financial data to Ledgora.
Ledgora LLC may revoke, suspend, reset, or block a license if payment is reversed, fraud is suspected, the license is shared or misused, this Agreement is violated, or required by law. If a license is revoked or inactive, the Software may return to Free mode after checking the license service.
7. Offline Operation and Local Data
Ledgora Desktop is designed as offline, local-first software. Your financial forecasts, business records, transactions, budgets, reports, receipts, vendors, customers, notes, project files, exports, and backups are intended to remain on your computer or storage locations that you choose.
Ledgora LLC does not host or automatically upload your local financial files to Ledgora servers. You are responsible for securing your device, operating system account, backups, exports, and local files. You are also responsible for maintaining backups of your User Data.
8. Updates and Downloads
Ledgora may provide updates, release metadata, security patches, bug fixes, and installers. Update checks may contact Ledgora servers to determine the latest version and download installers. Update checks do not require transmitting your local financial data.
Some updates may require a valid license or may be available only for supported versions. We may remove outdated, insecure, or unsupported downloads.
9. Security
Ledgora account services may include email verification, password hashing, session management, optional two-factor authentication, recovery codes, third-party sign-in, rate limiting, administrative audit logging, and license controls. No system is perfectly secure. You are responsible for protecting passwords, authentication codes, recovery codes, license keys, devices, and backups.
10. Restrictions
You may not copy, redistribute, resell, sublicense, lease, rent, publish, share license keys, bypass activation, tamper with licensing or security controls, reverse engineer the Software except where law expressly permits, remove notices, use the Software or Portal for unlawful purposes, or interfere with Ledgora’s services.
11. Third-Party Services
Ledgora may use third-party services for hosting, payments, transactional email, optional sign-in, downloads, security, and infrastructure. These may include Cloudflare, Stripe, Resend, Google, Microsoft, and similar providers. Their own terms and privacy policies may apply to those services.
12. Support
Support may be offered through documentation, email, or portal tickets. Support availability, response times, and scope are not guaranteed unless provided in a separate written agreement. Do not send confidential financial information unless needed and you are comfortable sharing it.
13. Financial Disclaimer
Ledgora provides cash-flow forecasting and planning tools only. It does not provide legal, tax, accounting, banking, investment, credit, or financial advice. You are responsible for verifying outputs and making decisions.
14. Warranty Disclaimer
The Software and services are provided “as is” and “as available.” To the maximum extent permitted by law, Ledgora LLC disclaims warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the maximum extent permitted by law, Ledgora LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, business interruption, missed payments, overdraft fees, penalties, tax issues, or decisions made using Ledgora.
16. Termination
This Agreement remains in effect until terminated. You may stop using and uninstall the Software at any time. We may terminate or suspend rights under this Agreement if you violate it, misuse licenses, commit fraud, create security risk, or if required by law. Termination does not automatically delete local files stored on your device.
17. Governing Law
This Agreement is governed by the laws of the Commonwealth of Pennsylvania and applicable United States law, without regard to conflict-of-law rules.
